PEIZU provides computer systems design, system integration, technical consulting, cybersecurity, cloud services, and software development services. The specific scope of services will be defined in individual service agreements or statements of work.

4. Intellectual Property

For custom development projects, intellectual property ownership will be specified in the relevant service agreement.

5. Payment Terms

Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed:

• Invoices are due within 30 days of issuance
• Late payments may incur interest charges
• All fees are non-refundable unless otherwise specified

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This obligation survives the termination of any service agreement.

7. Limitation of Liability

To the maximum extent permitted by law, PEIZU shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

8. Warranties and Disclaimers

Our services are provided as is and as available. While we strive to deliver high-quality services, we make no warranties, express or implied, regarding:

• The accuracy or completeness of any information
• Uninterrupted or error-free operation
• Fitness for a particular purpose
• Non-infringement of third-party rights

9. Indemnification

You agree to indemnify and hold harmless PEIZU, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

10. Termination

Either party may terminate the service relationship with written notice as specified in the applicable service agreement. Upon termination:

• All outstanding payments become immediately due
• Each party shall return or destroy confidential information
• Provisions that by their nature should survive will remain in effect

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be submitted to the jurisdiction of the courts in Kunming, Yunnan Province.

13. Modifications

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new terms.

14. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms of Service, together with any applicable service agreements, constitute the entire agreement between you and PEIZU regarding the use of our services and supersede all prior agreements and understandings.
